K&L Gates advises Vietnam Airlines on $8bn Boeing order

K&L Gates has advised Vietnam Airlines on its agreement to acquire 50 Boeing 737-8 aircraft in a transaction valued at more than $8 billion, marking one of the airline’s largest fleet investments to date.

The deal, signed during a high-level visit to the United States and witnessed by Vietnam’s General Secretary Tô Lâm, underscores the growing complexity of cross-border aircraft procurement and the increasing role of international legal counsel in structuring large-scale aviation transactions.

From a legal perspective, the transaction reflects the multi-jurisdictional nature of modern aircraft orders, requiring coordination across US manufacturing, Asian airline ownership structures and international financing frameworks. K&L Gates’ team, spanning Singapore, Tokyo and Seattle, advised on the structuring, documentation and regulatory considerations associated with the purchase.

The mandate highlights the continued importance of integrated legal advice across aviation finance, export credit, regulatory compliance and cross-border contracting, particularly as airlines in Asia-Pacific scale up fleet renewal programmes amid rising demand and evolving sustainability requirements.

Duc T. Nguyen, partner at K&L Gates, said the transaction forms part of “a broader pattern of increasing cross-border investment and deepening economic cooperation between Vietnam and the United States”, adding that it reflects the “increasing sophistication of aircraft procurement in the Asia-Pacific region”.

Beyond the headline order, the deal also signals the legal and financing groundwork required to support Vietnam Airlines’ longer-term fleet and network expansion, including potential future widebody investments and international growth.
